This Subscription Agreement ("Agreement") is entered into by and between [Client's Name], located at [Client's Address] ("Client"), and A to Z Dispatch ("Service Provider"), regarding the product [Product Name] as of [Effective Date].
WHEREAS,
- The Client has submitted the "Try for Free" form to access the A to Z Dispatch System for a 14-day trial period.
- The Client has reviewed and confirmed satisfaction with the demo of the A to Z Dispatch System (Lite / Growth / Pro) as presented on https://atozdispatch.com.
- The Client acknowledges that the trial system and the final delivered product are identical in features and functionality to the demo shown and advertised.
- The Client understands that any request for additional or customized features beyond the demo will be treated as add-on work, subject to separate estimation and approval.
WHEREAS, the Client is ready to pay recurring monthly or yearly fees for the [Product] with [PLAN].
NOW, THEREFORE, the parties agree as follows:
1. TRIAL & ACTIVATION TERMS
1.1 Free Trial Period
- The Client is entitled to a 14-day free trial starting from the official trial start date defined below.
- During this period, the Client may explore and test all standard features included in the selected plan.
- The Service Provider will assist with initial setup for trial access within 5 business days after all required details are received.
1.2 Set Up Completion & Trial Dates

The trial period begins after the system setup has been completed.
1.3 Automatic Activation After Trial
- A one-time setup fee of $[Amount] and the selected monthly subscription fee of $[Amount] will be automatically charged to the Client's provided payment method.
- The subscription will auto-renew each billing cycle (monthly or yearly) unless canceled before the trial ends.
- The Client will receive a reminder 3 days before the trial expires regarding the upcoming charge.
1.4 Trial Cancellation
- If the Client wishes to cancel before the trial ends, they must do so through the Admin Console → Settings → Cancel Trial or by notifying support in writing before the trial expiry.
- Once the trial ends, the subscription automatically begins, and no refunds will be issued for the setup or subscription fee.
2. PAYMENT TERMS
2.1 Setup Fee & Subscription
- The Client agrees to pay a one-time setup fee and recurring subscription charges based on the chosen plan (Lite / Growth / Pro).
- Payments will be billed automatically via Stripe or another authorized payment gateway.
- No refund will be processed once the setup or subscription payment has been made.
2.2 Renewal & Cancellation
- The subscription renews automatically unless canceled before the next billing cycle.
- Cancellations only apply to future charges.
3. SERVICE TERMS
3.1 White-Label Branding
As a white-label system, the Client's setup includes:
- Custom logo, application name, and domain.
- All mobile apps remain under A to Z Dispatch's developer accounts.
3.2 Source Code Ownership
The source code remains proprietary to A to Z Dispatch and is not included in this subscription.
3.3 Setup Timeline
- Setup will commence once all branding and configuration details are provided.
- System setup will be completed within 7 business days.
- App store approval timelines are managed by Apple/Google and are outside of the Service Provider's control.
3.4 Branding Requirements
A branding form will be shared upon signup. Failure to submit required branding assets (logo, colors, domain) will result in default system branding.
4. PAYMENT GATEWAY CONFIGURATION
- A test Stripe Key is pre-configured by default.
- To process real payments, the Client must update live payment credentials.
- The Client is responsible for ensuring compliance with Stripe policies and all relevant regulations.
- The Client is responsible for ensuring their Stripe account complies with all applicable terms and conditions set forth by Stripe, as well as any relevant local or international laws regarding payment processing.

5. ADD-ONS & CUSTOM FEATURES
- Any features or add-ons requested beyond the standard features provided in the [A to Z Dispatch] system will be treated as Extras.
- Add-ons will be quoted separately, and implementation will begin only after written approval.
6. REFUND & CANCELLATION POLICY
6.1 No Refund Policy
Once payment for the setup or subscription is processed, no refunds will be issued. Cancellation applies to future cycles only.
6.2 Data Retention & Deletion
- Upon cancellation, Client data will be retained for 3 months.
- After this period, all data will be permanently deleted unless the Client re-subscribes or requests data export.
6.3 Reactivation
- The Client may reactivate their account within 3 months of cancellation without additional setup fees.
- After 3 months, a new subscription and setup will be required.
7. PAYMENT REMINDER & GRACE PERIOD STRUCTURE
To ensure smooth communication with clients regarding overdue payments, here's a structured policy with a 7-day grace period after the 15-day overdue mark before full suspension.
- 3 Days Before Due Date – Friendly reminder (Auto-charge notification)
- On Due Date – Payment is due today. Stripe auto-charge notification
- 7 Days After Due Date – Urgent overdue reminder (failed payment)
- 15 Days After the Due Date – Final notice (24-hour warning for restriction)
- 22 Days After Due Date – Grace Period Ends → Full service suspension
Once the payment is successfully processed, your account will be automatically restored within 24 hours.
8. SECURITY AND COMPLIANCE
8.1 Security Standards
The Service Provider follows industry security standards, including:
- Encryption: All sensitive data is encrypted using AES-256 and SSL/TLS protocols.
- Breach Notification: In case of a security breach, affected Clients will be notified within 72 hours.
- Data Handling: Access to Client data is strictly restricted to authorized personnel only.
8.2 Compliance
- The platform complies with GDPR, CCPA, and other applicable data protection regulations.
- Daily backups ensure data recovery in case of system failure.
8.3 Privacy Policy
Our website collects information like Name, Email, Mobile and Business Address, and other third-party information that will be handled by a third-party provider like Stripe, and deletion requests can be made to our team, or the client can be deleted from their account.

Our response times for addressing queries, issues, or downtime are designed to ensure prompt and efficient support. On weekdays (Monday to Friday), we guarantee a response within 30 minutes of receiving your request. On weekends (Saturday and Sunday), our response time is within 2 hours. This commitment ensures that any concerns are addressed promptly, minimizing disruptions and maintaining seamless operations.
10. ACCEPTANCE
By signing this Agreement, the Client confirms that:
- The demo has been reviewed, and the trial system is identical to what was demonstrated.
- Any additional features or modifications requested beyond the demo will be treated as add-ons.
- The Client agrees to the 14-day trial and subsequent automatic setup and subscription charges as outlined above.
- The Client acknowledges and accepts the setup completion date and trial start and end dates specified in Section 1.2.
